Article 1 - General
1.1 In these General Terms and Conditions ("Terms"), the following definitions apply:
MIZUA: Sole proprietorship located at Rivièradreef 17, 2037 AC Haarlem, The Netherlands, registered with the Chamber of Commerce under number 85728993.
Customer: Any natural person not acting in the course of a trade or profession who enters into an Agreement with MIZUA for the supply of Products by MIZUA.
Agreement: Any agreement between MIZUA and the Customer under which MIZUA supplies Products, under any title whatsoever.
Products: All goods supplied by MIZUA under the Agreement, including but not limited to powder-based nutrition and dietary supplements.
Website: The websites of MIZUA, accessible at www.mizua.nl and all associated subdomains.
Day: Calendar day(s).
Written: Written and/or electronic communication.
1.2 These Terms apply to all offers, quotations, order confirmations, Agreements, and all related (legal) acts of MIZUA and the Customer. In the event of any conflict, the Agreement shall prevail over these Terms.
1.3 The invalidity or unenforceability of any provision, or part thereof, shall not affect the validity of the remaining provisions.
1.4 MIZUA reserves the right to amend these Terms, with the amended Terms taking effect from the date communicated and after the Customer has been provided with the updated version.
1.5 Deviations from these Terms and from the Agreement are only valid if expressly confirmed in writing by MIZUA.
Article 2 - Offers and Formation of Agreements
2.1 All offers, quotations, order confirmations, and statements from or on behalf of MIZUA are entirely non-binding, even if they include an acceptance period, and may be revoked at any time.
2.2 The Customer cannot derive any rights from offers, quotations, or statements from or on behalf of MIZUA that contain an obvious mistake or error.
2.3 Subject to the provisions in Article 2.5, an Agreement is concluded at the moment the Customer accepts the offer and meets the stated conditions.
2.4 If the Customer accepts the offer electronically, MIZUA shall confirm receipt of the acceptance without delay by electronic means. Until this confirmation has been received by the Customer, the Customer may withdraw the acceptance.
2.5 MIZUA may, within the limits of the law, obtain information about the Customer’s ability to meet payment obligations, as well as other relevant facts and circumstances for a responsible Agreement conclusion. If, based on such investigation, MIZUA has valid reasons not to proceed, it may refuse the order or attach special conditions to its execution.
2.6 MIZUA reserves the right to refuse any order or request consisting of multiple Products with different delivery times.
2.7 At the latest upon delivery, MIZUA shall provide the Customer with the following information, either in writing or in a form that can be stored on a durable data carrier:

The address of MIZUA’s registered office for complaints;

The conditions and procedures for exercising the right of withdrawal, or clear notice if the right of withdrawal does not apply;

Information on warranties and after-sales service;

The total price of the Product, including taxes, delivery charges, and payment or delivery methods;

The model withdrawal form, if applicable.
Article 3 - Prices and Payment
3.1 All quoted and agreed prices are in Euros and include VAT. Shipping costs are not included and are, unless otherwise agreed, payable by the Customer. Shipping rates:

Netherlands: €9,99 per order

Belgium: €12,99 per order

Germany: €15,99 per order

Other EU countries: €20,99 per order

All other countries worldwide: €30,99 per order
3.2 Payment must be made via one of the methods indicated by MIZUA.
3.3 Payment must be made in Euros, within fourteen (14) days after the invoice date, by bank transfer to an account designated by MIZUA.
3.4 The Customer must immediately inform MIZUA of any inaccuracies in the provided or listed payment details.
3.5 MIZUA reserves the right to issue invoices exclusively via email.
3.6 MIZUA may at any time require an advance payment of up to 50% of the purchase price. If an advance payment has been agreed, MIZUA is not obligated to execute the Agreement until such payment has been received.
3.7 If payment is not made within the specified term, and MIZUA has notified the Customer and granted an additional 14 days to pay, the Customer shall owe statutory interest on the outstanding amount. All reasonable collection costs shall also be borne by the Customer.
Article 4 - Delivery and Delivery Times
4.1 Delivery times provided by MIZUA are estimates and not binding.
4.2 The delivery address is the one provided by the Customer during the ordering process.
4.3 MIZUA may perform the Agreement in separate (partial) deliveries.
4.4 The Agreement shall be executed promptly, but no later than within 30 days, unless a longer delivery period is agreed. If delivery is delayed or cannot be fulfilled in full, the Customer will be informed within 30 days. In that case, the Customer has the right to cancel the Agreement free of charge.
4.5 In the event of cancellation, MIZUA will refund any payments made by the Customer within 14 days.
Article 5 - Right of Withdrawal
5.1 The Customer may cancel the Agreement within 14 days without giving any reason. MIZUA may ask for a reason but cannot require it.
5.2 The 14-day period begins on the day the Customer or a third party (not the carrier) receives the Product, or:

In the case of multiple products in one order: when the last product is received;

In the case of deliveries in parts: when the final part is received;
-
For regular delivery agreements: when the first product is received.
5.3 The Customer must notify MIZUA of their withdrawal using the model withdrawal form available in the return portal at www.mizua.nl/returns.
5.4 The Customer must return the Product promptly, but no later than 14 days after submitting the withdrawal notice.
5.5 Products must be returned complete, undamaged, in original packaging, and following MIZUA’s reasonable instructions.
5.6 The right of withdrawal does not apply to Products whose seal or immediate packaging has been broken after delivery.
5.7 Return shipping costs are borne by the Customer.
5.8 If the Customer has already paid, MIZUA will refund the amount within 14 days of receipt of the returned Product, using the same payment method unless otherwise agreed.
Article 6 - Customer Obligations During the Reflection Period
6.1 The Customer must handle the Product and packaging carefully and only unpack or use it as necessary to determine its nature and functionality, as one would in a physical store.
6.2 The Customer is liable for any depreciation resulting from improper handling. MIZUA may offset such depreciation against any refund.
Article 7 - Complaints Procedure
7.1 Complaints regarding the execution of the Agreement must be submitted in writing within a reasonable time after discovery via the contact page at www.mizua.nl/pages/contact
7.2 MIZUA will respond within fourteen (14) days. If more time is required, MIZUA will confirm receipt and provide an estimated response time.
7.3 If a complaint is found valid, MIZUA will, at its discretion, repair or replace the Product free of charge.
Article 8 - Liability
8.1 Products must be used strictly in accordance with the supplied instructions. The Customer is responsible for assessing whether the Products are suitable for their intended use.
8.2 MIZUA is not liable for any damage except where caused by deliberate intent or gross negligence.
8.3 In any case, MIZUA’s liability is limited to the invoice value of the Products that caused the damage.
Article 9 - Force Majeure
9.1 MIZUA may suspend its obligations in the event of force majeure. If such circumstances persist for more than 30 days, either party may terminate the Agreement without compensation.
9.2 If MIZUA has already partially fulfilled its obligations, it may invoice the Customer for the completed portion as if it were a separate contract.
Article 10 - Disputes and Governing Law
10.1 These Terms and any Agreement between MIZUA and the Customer are governed exclusively by Dutch law.
Article 11 - SMS Marketing
